AgEagle Announces Second Quarter 2022 Financial Results

Three and Six Month Revenues Climb 173% and 151%, Respectively, Over Prior Year’s Comparable Periods

WICHITA, Kan., Aug. 16, 2022 — AgEagle Aerial Systems Inc. (NYSE American: UAVS) (“AgEagle” or the “Company”), an industry-leading provider of full-stack drone, sensor and software solutions for commercial and government/defense use, today announced its financial results for the three and six months ended June 30, 2022.

Financial Highlights for the Comparable Three-Month Periods Ended June 30, 2022 and June 30, 2021

  • Revenues increased 173% to $5.29 million from $1.94 million.
    • As a result of the senseFly acquisition, which occurred in the fourth quarter of 2021, the Company recorded incremental revenue for the eBee™ fixed wing drones of $3.04 million that were not included in the prior year financials
    • Continued strong demand for the Company’s new Altum-PT™ and RedEdge-P™ multispectral sensors, which were introduced to the market in the fall of 2021, resulted in a 23% jump in sales revenues of sensors to $2.10 million from $1.71 million.
    • The notable increase in total revenues was offset by the decline of software subscription sales for AgEagle’s HempOverview and Ground Control solutions, which decreased to $158,000 from $229,000.
  • The Company’s loss from operations totaled $5.39 million compared to $4.82 million. The increase was primarily attributable to a decrease in gross profit margins due to supply chain constraints and higher operating costs as a result of inclusion of a full quarter’s expenses for the 2021 business acquisitions, offset by the absence of transactional costs incurred for these acquisitions.
  • After factoring net non-cash expenses and income including cumulative foreign currency translations adjustments, total comprehensive net loss rose to $5.47 million, or $0.07 loss per share, compared to $4.68 million, or $0.07 loss per share.

Financial Highlights for the Comparable Six-Month Periods Ended June 30, 2022 and June 30, 2021

  • Six-month revenues totaled $9.13 million, up 151% from $3.64 million.
    • As a result of the senseFly acquisition, which occurred in the fourth quarter of 2021, the Company recorded incremental revenue for the eBee™ fixed wing drones of $5.76 million that were not included in the prior year financials
    • Sensor sales were $3.03 million compared to $3.39 million. The decrease was attributable to supply chain issues affecting delivery of Altum-PT and RedEdge-P sensors in the first and second quarters of this year. As of June 30, 2022, the order backlog for these sensors stood at approximately $1 million, which is included in contract liabilities on the Company’s consolidated balance sheet. We continue to ship orders to clear a large portion of our backlog while continuing to expand our sales pipeline due to on-going demand for our sensors.
    • Software subscription sales climbed 30% to $328,000 from $253,000, primarily resulting from the increased sales in the first quarter of 2022.
  • Due to higher general and administrative, R&D and sales and marketing expenses associated with execution of AgEagle’s acquisition strategy in 2021, loss from operations increased to $12.87 million from $7.78 million.
  • The comprehensive net loss totaled $13.04 million, or $0.17 loss per share, compared to a comprehensive net loss of $7.61 million, or $0.12 loss per share, for the comparable years’ six-month reporting periods.
  • As of June 30, 2022, AgEagle’s cash position was $13.51 million and its total stockholders’ equity was $83.60 million. This compared to cash of $14.59 million and stockholders’ equity of $76.58 million as of December 31, 2021.
    • During the six months ended June 30, 2022, the Company raised net proceeds of $4.58 million through its At-The-Market Offering with co-agents Stifel Nicholas & Company and Raymond James & Associates. In addition, AgEagle completed a registered direct offering with an existing institutional shareholder, raising an additional $9.92 million in net proceeds.

AgEagle Satisfies in Full All Payment Obligations for 2021 Acquisitions of MicaSense and senseFly at a 50% Discount

WICHITA, Kan., Aug. 02, 2022 — AgEagle Aerial Systems Inc. (NYSE American: UAVS) (“AgEagle” or the “Company”), an industry-leading provider of full-stack drone, sensor and software solutions for commercial and government/defense use, today announced that pursuant to certain waiver agreements dated as of July 22, 2022, the Company has made final holdback payments in full satisfaction of its payment obligations for the 2021 acquisitions of MicaSense, senseFly, SA and senseFly, Inc. in an effort to strengthen its balance sheet and properly position the Company for strategic growth opportunities.

Commenting on the debt negotiation, Barrett Mooney, Chairman and CEO said, “Thanks to our institutional shareholders who have continued to support our capital raising efforts, and in light of the tightening capital markets, we are very pleased to announce that AgEagle was able to settle more than $7.35 million of debt at a significant and beneficial discount.”

On July 22, 2022, AgEagle entered into waiver agreements pursuant to which the Company was released from 50% of its payment obligations relating to holdback amounts in connection with the acquisitions of MicaSense and senseFly. Upon making cash payments totaling $3,650,601 on July 29, 2022, AgEagle fully satisfied its payment obligations.

FAA’s Drone Registration Data Confirms that AgEagle’s eBee™ Is Most Popular Commercial Fixed Wing Drone in the United States
Brazilian National Civil Aviation Agency Approves BVLOS Flights Using eBee Ag and eBee Geo Fixed Wing Drones

WICHITA, Kan., July 12, 2022 — AgEagle Aerial Systems Inc. (NYSE:UAVS) (“AgEagle” or the “Company”), an industry leading provider of full-stack drone, sensor and software solutions for commercial and government/defense use, today announced that the Federal Aviation Administration’s (“FAA”) commercial drone registration data confirms that the Company’s eBee is the most used fixed wing small Unmanned Aerial System (“sUAS” or “drone”) in the United States, accounting for 41% of all commercial fixed-wing drone registrations in the nation since 2016.

According to the Company’s analysis of official FAA Part 107 commercial drone registration data supplied to AgEagle pursuant to its FOIA Request submission, from 2016 – 2021, the eBee was the commercial sUAS of choice for U.S. commercial drone operators, outnumbering all other fixed wing drones registered, including Vertical Take-off and Landing (“VTOL”) aircraft, by a large margin as reflected in the table.

Earlier this year, our eBee TAC™ was the industry’s first drone to be added to the Blue UAS Cleared List by the U.S. Department of Defense’s Defense Innovation Unit under the Blue sUAS 2.0 program.

Earlier this month, the Brazilian National Civil Aviation Agency (ANAC) approved BVLOS flights to be carried out in Brazil using AgEagle’s eBee Geo and eBee Ag fixed wing drones. Working in collaboration with technical partners, AL Drones, a drone engineering and consulting specialist, and geotechnology company Santiago & Cintra Geotecnologias, the Design Authorization from ANAC was secured for BVLOS flight clearance. The eBee Geo and eBee Ag drones received approval by demonstrating the safety requirements of the ANAC RBAC-E94 Regulation Unmanned Aircraft through detailed engineering analyses and in-depth flight testing. Following the certification, eBee Geo and eBee Ag drone operators in Brazil now only need to acquire a CAER (Special Airworthiness Certificate for RPA) certificate for the aircraft with Santiago & Cintra before flying BVLOS operations.

AL Drones Co-Founder André Arruda noted, “The Design Authorization process for the eBee Geo and eBee Ag was completed in four months — a record time for this type of ANAC approval. Throughout the process, it was proven that the eBees meet all requirements for BVLOS flights in our country, including safety systems, protection logics, anti-collision lights, systems redundancy and operational and emergency procedures for flights beyond the remote pilot’s view. CORRECTING AND REPLACING: AgEagle Aerial Systems Announces Pricing of $10 Million Registered Direct Offering

WICHITA, Kan., June 30, 2022 — AgEagle Aerial Systems Inc. (NYSE American: UAVS) (“AgEagle” or the “Company”), an industry-leading provider of full-stack drone, sensor and software solutions for commercial and government/defense use, today announced that, it has entered into a securities purchase agreement with an institutional investment firm (the “Investor”), which is an existing AgEagle shareholder. Pursuant to the agreement, the Investor will purchase 10,000 shares of Series F 5% Convertible Preferred Stock (the “Series F Convertible Preferred”) and warrants to purchase up to 16,129,032 shares of common stock at an exercise price of $0.96 per share (the “Warrants”), for gross proceeds of approximately $10 million. The Series F Convertible Preferred will be convertible into 16,129,032 shares of the Company’s common stock at a conversion price of $0.62 per share. The Warrants are not exercisable for the first six months after issuance and have a three-year term from the exercise date. Upon exercise of the Warrants in full by the Investor, the Company would receive additional gross proceeds of approximately $15.5 million. A certificate of designation setting forth the terms, dividends, rights and other privileges of the Series F Convertible Preferred will be filed with the Secretary of State of the State of Nevada. The Investor has the right, subject to certain conditions, including shareholder approval, to purchase up to $25,000,000 of additional shares of Series F Convertible Preferred and warrants. That option will be available for a period of 18 months after shareholder approval at a purchase price equal to the average Volume Weighted Average Pricings (“VWAPs”) for three trading days prior to the date the Investor gives notice to the Company that it will exercise the option.

The Company expects the net proceeds from the offering to be approximately $9.92 million after deducting approximately $80,000 in offering expenses. The Company expects to spend the balance of the proceeds for general working capital and capital expenditure purposes. The offering is expected to close on or about June 29, 2022, subject to the satisfaction of customary closing conditions.

In addition, AgEagle expects to meet ongoing global market demand for its multispectral sensors moving forward, notwithstanding any further unforeseen delays.

AgEagle Announces eBee X™ is First Drone in its Class to Receive Design Verification Essential for BVLOS and Operations Over People From European Union Aviation Safety Agency

WICHITA, Kan., June 21, 2022 — AgEagle Aerial Systems Inc. (NYSE American: UAVS) (“AgEagle” or the “Company”), an industry-leading provider of full-stack drone, sensor and software solutions for commercial and government/defense use, today announced that the European Union Aviation Safety Agency (“EASA”) has issued a Design Verification Report (“DVR”) establishing that eBee X meets Ground Risk Class (“GRC”) M2 mitigation qualifications based on Specific Operation Risk Assessment (“SORA”) methodology.

The eBee X is the industry’s first drone to receive a DVR from EASA on M2 mitigation, paving the way for European drone operators to seek approvals from their applicable National Aviation Authorities to use the eBee X to fly Beyond Visual Line of Sight (“BVLOS”) missions and conduct Operations Over People (“OOP”).

The EASA design verification report demonstrates that the eBee X meets the highest possible quality and ground risk safety standards and, thanks to its lightweight design, effects of ground impact are reduced. As such, drone operators conducting advanced drone operations in 27 European Member States, Iceland, Liechtenstein, Norway, and Switzerland can obtain the HIGH or MEDIUM robustness levels of the M2 mitigation without additional verification from EASA.
