AgEagle to Provide Secure Drones Using SEALSQ Certified Secure Element for Defense and Public Safety Applications

In September 2023, AgEagle launched the eBee VISION, a cyber secure Unmanned Aerial System (UAS) designed for Intelligence Surveillance and Reconnaissance (ISR) missions. The eBee VISION embeds a SEALSQ Secure Element which is NIST FIPS140-2 Level 3 compliant and Common Criteria EAL5+ certified. Each chip is personalized with a unique Trusted Identity. AgEagle Announces Third Quarter 2023 Results

WICHITA, Kan., Nov. 14, 2023 — AgEagle Aerial Systems Inc. (NYSE American: UAVS) (“AgEagle” or the “Company”), an industry-leading provider of full stack flight hardware, sensors and software for commercial and government use, today announces its financial results for the three and nine months ended September 30, 2023.

Third Quarter 2023 Financial Highlights

  • Revenues totaled $3.48 million for the three months ended September 30, 2023, decreasing 37% from $5.49 million reported for the same three-month period in the prior year. Nine-month revenues totaled $10.81 million in 2023, which were down 26% from $14.62 million for the first nine months of 2022.
    • The decrease in revenues was largely due to lower sales of the Company’s eBee series of drones – a decline that was expected in conjunction with the commercial launch of AgEagle’s new eBee VISION in September 2023.
  • Total operating expenses increased minimally to $7.20 million from $7.23 million for the three-month reporting periods ended September 30, 2023 and 2022. They were reduced by 28% to $19.24 million from $24.01 million for the comparable nine-month reporting periods.
  • Loss from operations increased 14% to $5.99 million from $5.15 million for the three months ended September 30, 2023 and 2022, respectively; and were reduced 17% to $15.02 million from $18.02 million for the nine months ended September 30, 2023 and 2022, respectively.
  • As of June 30, 2023, AgEagle’s cash position was $1.6 million, which compared to cash of $4.35 million as of December 31, 2022.

Third Quarter 2023 Operational Highlights

  • The Company announced that DeltaQuad, a global leader in the development, design and production of electrical, long range Vertical Take-Off and Landing (“VTOL”) drones, is the first to fully integrate AgEagle’s latest sensor innovation, the RedEdge-P dual, in its new DeltaQuad EVO.
  • Commercial production of the Company’s next generation fixed-wing unmanned aerial system, the eBee VISION commenced and orders for the systems are now being accepted.
  • Kelluu Ltd., a privately-owned Finnish company engaged in the design, manufacture and operation of autonomous airships for aerial environmental and critical infrastructure monitoring and surveillance announced it has chosen to equip its growing fleet of unmanned airships with AgEagle’s high performance RedEdge-P multispectral cameras for collection of high-quality images and sensor data.
  • AgEagle completed an offering of 16,720,000 shares of common stock and 25,080,000 common stock purchase warrants (the “common warrant”) to purchase 25,080,000 shares of common stock at a combined price of $0.25 per share and accompanying common warrants for aggregate gross proceeds of approximately $4.2 million, before deducting placement agent fees and other offering expenses.

New Interim Chief Financial Officer

WICHITA, Kan., Oct. 19, 2023 — AgEagle Aerial Systems Inc. (NYSE American: UAVS) (“AgEagle” or the “Company”), an industry-leading provider of full stack flight hardware, sensors and software for commercial and government use, today announced key leadership changes to propel the Company’s strategic growth initiatives forward more rapidly, with emphasis on perpetuating deeper penetration of global sales and servicing the expanding needs of the government/defense industry sector.

Grant Begley, an independent member of the Board of Directors since June 2016, has been elected Chairman of the Board; and former Chairman Barrett Mooney will continue to serve as AgEagle’s Chief Executive Officer and as a member of the Board. In addition, the Board has named Mark DiSiena as the Company’s new Chief Financial Officer, succeeding Nicole Fernandez-McGovern in the position.

About Grant Begley

Begley is an accomplished and globally recognized expert in Aerospace, Unmanned Systems and Robotics, currently serving as President of Concepts to Capabilities Consulting, LLC, a specialty consulting firm he founded in 2011 to help lead and guide development of new capabilities in Aerospace and Unmanned Aerial System (“UAS”) technologies for government/defense and commercial clients.

An active Board member of Vaya Space since 2015, Begley also served as the vortex-hybrid rocket company’s CEO from 2018 through 2022. Previous senior leadership roles have included Chief Business Development Officer and SVP of Alion Science and Technology, where he helped develop Alion’s $1 billion annual revenue Business Development Enterprise; Pentagon Senior Advisor for Unmanned Systems at the U.S. Department of Defense; Senior Director of Mission Systems Integration at Raytheon, where he led the Company’s cross-functional and cross-organizational integration of Digital Systems, Avionics, Electronics and Software operations; and Director of Advanced Concepts at Lockheed Martin, where he architected and steered development programs in the areas of UAS, Advanced Energetics and future generation weapon systems.

Retiring from the United States Navy after 26 years of service as an officer, Begley led operational assignments flying fighter aircraft, designated Top Gun, followed by assignments relating to development and management of next generation manned and unmanned aerial systems, weapon systems and joint executive acquisitions. During his distinguished military career, he also served as Director of Stealth, Counter Stealth Technology, Policy and Advance Programs; as well as and Joint and Navy Director of Tactical Aircraft, Missiles and UAS, managing and directing operations with an annual budget of $4 billion and a $30 billion future year budget plan.

Begley holds Master’s degrees in Aerospace and Aeronautic Engineering from the Naval Post-Graduate School and a Bachelor’s degree in General Engineering from the U.S. Naval Academy. From March 2011 to December 2021, he served as a founding member of the Board of Directors for the Association for Uncrewed Vehicle Systems International (“AUVSI”). AUVSI is the global leader for enhancing the advancement of uncrewed, robotic and autonomous systems for the benefit of humanity, the environment and economy.

About Mark DiSiena

In his new role as Interim Chief Financial Officer of AgEagle, DiSiena will oversee corporate finance, SEC reporting, compliance, treasury, financial planning and analysis, taxation, accounting, investor relations, procurement, internal audit, risk management, ERP optimization and corporate strategy. DiSiena, who is both a retired CPA and attorney with a securities and taxation background, brings to AgEagle over 30 years of experience working with domestic and international public and private companies spanning a range of industries.

He has held management positions at Oracle-NetSuite, LVMH and Lucent Technologies/Bell Labs. He began his career as an assurance auditor at PriceWaterhouseCoopers. DiSiena earned a Bachelor of Science degree with honors from New York University, an MBA from Stanford University and a law degree from Vanderbilt University.

AgEagle’s eBee Drones Receive EASA’s C6 Certificate for BVLOS Flights in the European Union

AgEagle Sells the Only Drones with Both C6 and C2 Markings

WICHITA, Kan., Oct. 04, 2023 — AgEagle Aerial Systems Inc. (NYSE American: UAVS) (“AgEagle” or the “Company”), an industry-leading provider of full stack flight hardware, sensors and software for commercial and government use, today announced that the eBee X, eBee TAC Public Safety, eBee Ag and eBee Geo drones (“eBee X Series“) have been designated with the C6 class identification label in accordance with the European Union (“EU”) regulations.

As of January 1, 2024, drone operators of C6-labeled eBees will be able to conduct Beyond Visual Line of Sight (“BVLOS”) operations with airspace observers over a controlled ground area in a sparsely populated environment throughout Europe. Operators simply need to submit a required declaration with their applicable National Aviation Authority indicating whether they intend to fly missions in accordance with the European Standard Scenario- (“STS”) 01 or STS-02.

With this new certification, the eBee X Series become the only professional drones in the market with both C6 and C2 markings, providing distinct advantages to operators throughout Europe.

It grants access to areas and operational modes restricted to drones weighing over 4 kg, all without the requirement for formal permissions or regulatory waivers. Currently, only eBee drones possess both the C2 and C6 marking, affirming their status as the safest choice for flying over people and conducting BVLOS operations.”

To achieve the C6 classification, eBees underwent rigorous testing and evaluation by the notified body NavCert GmbH to confirm their compliance with specific EU criteria.

Marcel Visser, Managing Director of NavCert GmbH, stated, “Congratulations to AgEagle on achieving the C6 marking for the eBee X series drones. We are honored to have been the Notified Body (NB 2603) responsible for assessing the fixed-wing drones for the C mark. Our extensive experience and our contribution to the development of the EN 4709 standard have been invaluable in conducting the technical assessments mandated by the Commission Delegated Regulation (EU) 2019/945 on unmanned aircraft systems. We remain dedicated to upholding the requisite standards of quality and safety for drone operations within the European Union.”

In addition, beyond the scope of C2 and C6 markings, the eBee X Series achieved another milestone in June 2022 by becoming the industry’s first drones to receive a Design Verification Report (DVR) from EASA on M2 Ground Risk Mitigation. This pertains to the European “Specific Category” and allows for Operations Over People (OOP) and BVLOS flights under conditions not covered by EASA’s standard scenario STS-02. The DVR facilitates European drone operators in seeking approvals from their respective National Aviation Authorities.

The EVO is DeltaQuad’s next generation UAV technology offering a wide range of advanced features and exceptional performance. With over four hours of flight time, up to 270 km range, dual payload bays and high quality composites, EVO provides optimal versatility and superior functionality for its global base of commercial and government customers. When equipped with the RedEdge-P dual, the DeltaQuad EVO is empowered to capture imagery that mirrors Landsat 8 and Sentinel-2 satellite bands in just one drone flight and at a higher resolution, making it ideal for plant classification, weed identification, environmental research and conservation and vegetation analysis of water bodies.

Introduced to market in May 2023, the RedEdge-P dual doubles a drone operator’s analytical capabilities with the benefit of a single camera workflow; allows simultaneous capture of up to ten bands; and enables multiple high resolution outputs, such as RGB, crop vigor indices, composites (NDVI, NDRE, CIR) and high resolution panchromatic. Essentially, the new RedEdge-P dual is a blend of AgEagle’s RedEdge-P and RedEdge-P Blue cameras. Its coastal blue band – the first of its kind in the market – is specifically designed for applications such as environmental monitoring, water management, habitat protection and identification of vegetation species and weeds, as well as for differentiating and counting plants, trees and invasive species.
